Public Shareholding Spread Requirement Pursuant To Paragraph 8.15 Of The Listing Requirements Fo Bursa Malaysia Securities Berha

Further to the Company's announcements made on 21 April 2008 and 30 June 2008 in relation to non-compliance with the requirement of the public shareholding spread as required under Para 8.15(1) of the Listing Requirements ("LR") of Bursa Malaysia Securities Berhad ("Bursa Securities"), the Board of Directors of HELP is pleased to announce that the Company had obtained an extension of time of six(6) months until 31 December 2008 from Bursa Securities in order to comply with the public shareholding spread via their letter dated 1 August 2008.

The public shareholding spread of the Company based on the Record of Depositors as at 18 June 2008 is as follows:-

Percentage of public shareholding - 24.10%
Number of public shareholders holding not less than 100 shares each - 830

Steps proposed to be taken under the Rectification Plan of the Company as previously announced and still ongoing includes:-

(i) Increasing promotional and investor relations ("IR") activities such as the following to increase the Company's publicity and awareness amongst the media, investors and the general public:-
Help University College Sdn. Bhd. ("HUC"), a wholly-owned subsidiary of the Company was featured in the Anniversary Book commemorating the 150th anniversary of University of London (External) Programme which was distributed worldwide;
In terms of media publications, the excellent academic achievements achieved by students from various academic programmes of HUC were duly publicised in the major newspapers in Malaysia creating awareness of its high academic standards and achievements;
The Company has celebrated its 22nd Anniversary on 1 April 2008 in which the Deputy Minister of Higher Education was the guest-of-honour. There were heavy media coverage on this event which highlighted HELP's future and history as a pioneer and major player in the education industry.
The intensive publicity of HUC's development of a new self-contained campus in Subang 2 has generated a lot of interest and awareness on the excellent future prospects of the Company;
(ii) Meetings with existing and prospective institutional investors as well as brokerage houses' representatives and business associates;
(iii) Management briefing to the employees of the Company with regard to the prospect of the Company to encourage them to invest in the Company; and
(iv) Continuous participation in IR activities such as CMDF- Bursa Scheme II and as a member of the Malaysian Investor Relations Association ("MIRA").

The Board of Directors will monitor and review the options available to enable the Company to comply with the public shareholding spread requirement by 31 December 2008.
